Photo of the Week Contest

Section 1

Overview & Agreement

The Forever Buddy "Photo of the Week" Contest (the "Contest") is operated by Forever Buddy LLC ("Forever Buddy," "we," "us," or "our"). By entering the Contest — including by replying "Yes" or any other affirmative response to a Contest invitation email — you ("Entrant" or "you") agree to be legally bound by these Terms and Conditions ("Terms") in their entirety.

Section 2

Eligibility

To be eligible to enter, you must:

• Be a legal resident of the United States and be 18 years of age or older at the time of entry.
• Be a current customer of Forever Buddy or have received a Contest invitation directly from Forever Buddy.
• Have a valid email address and be the rightful owner or authorized user of the email account used to enter.
• Have previously uploaded one or more pet photograph(s) to the Forever Buddy website in connection with a product purchase, and have the legal right to those photograph(s).

Employees, contractors, officers, directors, and agents of Forever Buddy, and members of their immediate families or households, are not eligible to participate.

Section 3

How to Enter

Contest entry is by invitation only. Eligible customers will receive an email from Forever Buddy inviting them to participate in the current Contest period. To enter:

• Reply "Yes" (or an equivalent affirmative response) to the invitation email to confirm your participation.

If you have uploaded multiple photos, Forever Buddy will select which of your previously uploaded Photo(s) to feature in the Contest at its sole discretion. Entries submitted by any method other than as described above will not be accepted. Forever Buddy is not responsible for entries lost, misdirected, or delayed due to technical issues.

Section 4

Eligible Photos

Photos entered into the Contest are the pet photograph(s) you previously uploaded to the Forever Buddy website in connection with a product purchase. To be eligible for the Contest, these Photos must:

• Feature the Entrant's own pet(s).
• Be an original photograph taken by the Entrant or someone with the Entrant's authorization.
• Not contain any watermarks, logos, or branding other than that of Forever Buddy where applicable.
• Not depict any person in a manner that is identifiable without their consent. If identifiable individuals appear in a Photo, the Entrant is solely responsible for having obtained all necessary consents at the time of upload.
• Not contain any content that is offensive, obscene, defamatory, violent, or otherwise inappropriate as determined in Forever Buddy's sole discretion.
• Not infringe upon any third-party intellectual property, privacy, or other rights.

Forever Buddy reserves the right to exclude any Photo from the Contest that does not comply with these requirements.

Section 5

Intellectual Property & License Grant

5.1 Grant of Rights

By entering the Contest, you confirm and extend the license you granted when you originally uploaded your Photo(s) to the Forever Buddy website. Specifically, you grant Forever Buddy a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sublicensable, and transferable license to use, reproduce, distribute, display, publish, modify, adapt, and create derivative works from your Photo(s) for any marketing, promotional, advertising, commercial, or business purpose, in any media or format now known or hereafter developed, including but not limited to:

• Social media platforms (e.g., Instagram, Facebook, TikTok, Pinterest, X/Twitter)
• The Forever Buddy website and mobile applications
• Email marketing campaigns and newsletters
• Print advertising, packaging, and point-of-sale materials
• Press releases and media content
• User-generated content (UGC) features, community spotlights, and customer showcase materials
• Any other promotional or commercial materials

5.2 Moral Rights Waiver

To the extent permitted by applicable law, you waive any moral rights you may have in the Photos in connection with Forever Buddy's use as described in these Terms.

5.3 Retention of Ownership

You retain ownership of the copyright in your Photos subject to the license granted above. Forever Buddy does not claim ownership of your Photos.

5.4 No Compensation

You acknowledge that no compensation, royalties, or other payments will be owed to you for Forever Buddy's use of your Photos under the license granted, beyond any prize awarded through the Contest.

Section 6

Contest Period & Winner Selection

Each Contest period runs for one (1) week, as communicated in the invitation email.

6.1 Photo of the Week Winner

One (1) "Photo of the Week" winner will be selected per Contest period at the sole discretion of Forever Buddy. Selection is not based on chance. Criteria may include, but are not limited to:

• Overall visual appeal and marketability of the Photo.
• How well the Photo showcases a Forever Buddy product in a real-life setting.
• Creativity, composition, and quality of the image.
• Alignment with the Forever Buddy brand and its community values.
• Potential audience appeal across Forever Buddy's marketing channels.

6.2 Honorable Mentions

In addition to the weekly winner, Forever Buddy may recognize additional Entrants as "Honorable Mentions" at its sole discretion. Honorable Mention selections are not guaranteed in any Contest period and do not carry a prize unless otherwise stated in the invitation email. Honorable Mention Photos may be featured on Forever Buddy's social media, website, or other marketing channels.

Section 7

Prize

The prize(s) will be described in the invitation email for each Contest period. Prizes are non-transferable, non-exchangeable, and have no cash value unless otherwise stated. Forever Buddy reserves the right to substitute a prize of equal or greater value at its sole discretion. The Entrant is responsible for any taxes or other obligations arising from receipt of a prize.

Section 8

Privacy & Personal Data

By entering the Contest, you consent to Forever Buddy collecting, storing, and using your personal information (including your name and email address) for the purposes of administering the Contest, notifying you of results, and exercising the rights granted in these Terms. Forever Buddy will handle your personal data in accordance with its Privacy Policy.

Your information will not be sold to third parties. However, it may be shared with service providers who assist in administering the Contest or our marketing activities, under appropriate confidentiality obligations.

Section 9

Representations & Warranties

By entering the Contest, you represent and warrant that:

• You are the sole and exclusive owner of all rights in and to the Photo(s) you previously uploaded to the Forever Buddy website, or you have obtained all necessary rights, licenses, and consents to grant the license described herein.
• The Photo(s) do not infringe any third-party intellectual property rights, privacy rights, or any other rights.
• You have obtained the consent of any identifiable individual appearing in the Photo(s).
• You have the authority to enter into these Terms and grant the rights described herein.
• All information you provide in connection with the Contest is truthful, accurate, and complete.

Section 10

Indemnification

You agree to indemnify, defend, and hold harmless Forever Buddy and its officers, directors, employees, agents, partners, and successors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to: (a) your participation in the Contest; (b) your breach of these Terms or any representation or warranty herein; (c) any claim that your Photo(s) infringe the rights of any third party; or (d) your violation of any applicable law.

Section 11

Limitation of Liability

To the maximum extent permitted by applicable law, Forever Buddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Contest or these Terms, even if advised of the possibility of such damages. Forever Buddy's total liability to any Entrant shall not exceed the value of the prize awarded to that Entrant.

Section 12

Disqualification & Removal

Forever Buddy reserves the right to disqualify any Entrant and remove any Photo from the Contest at any time, for any reason, including but not limited to a breach of these Terms, fraudulent entry, or any conduct deemed harmful to Forever Buddy's reputation. Disqualification does not affect the license granted to Forever Buddy under Section 5.

Section 13

Modifications & Cancellation

Forever Buddy reserves the right to modify, suspend, or cancel the Contest or these Terms at any time without notice, subject to applicable laws. Any material changes will be communicated via email or on the Forever Buddy website.

Section 14

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms or the Contest shall be resolved by binding arbitration in Tampa, Florida in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Section 15

General Provisions

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and Forever Buddy with respect to the Contest and supersede all prior understandings. Forever Buddy's failure to enforce any provision of these Terms shall not constitute a waiver of its right to do so.
